Terms and Conditions for IntellectConnect Tutoring LLC

Effective Date: The date of payment or sign-up (as indicated by the Client’s click of the "I Agree" box at checkout or when payment is processed).

Welcome to IntellectConnect Tutoring ("we," "our," or "the Company"). By engaging with our tutoring services, including but not limited to purchasing tutoring sessions, utilizing discounts, or using any of our payment methods, you agree to comply with and be bound by the following Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.


1. Services Provided

1.1 Tutoring Services:

IntellectConnect Tutoring provides online and in-person tutoring services across various subjects. Specific details of the tutoring services, including rates and availability, can be found on our website or by request via our customer service.


2. Payment Terms

2.1 Payment Methods: We accept the following payment methods:

  • Credit Cards (Visa, MasterCard, American Express, Discover)

  • Debit Cards

  • PayPal

  • Klarna

  • Afterpay

  • Apple Pay

  • Google Pay

2.2 Transaction Fees:

A 3% processing fee will be applied to all transactions. This fee applies to all payment methods, including credit/debit card transactions and digital wallet payments (e.g., Apple Pay, Google Pay), unless otherwise noted at checkout.


2.3 Installment Plans and BNPL Programs:

If you opt for a "Buy Now, Pay Later" (BNPL) payment plan via Klarna, Afterpay, or another BNPL provider, you agree to the respective terms and conditions of these BNPL providers. IntellectConnect Tutoring is not responsible for issues related to Klarna, Afterpay, or any third-party BNPL services, including late fees, credit checks, or payment disputes.


2.4 Chargebacks:

In the event of a chargeback initiated by you (the client), you will be charged a $50 fee, in addition to the original amount due. We reserve the right to suspend or terminate your access to tutoring services if a chargeback occurs until the matter is resolved. We will also report unpaid chargebacks to collection agencies if necessary.


3. Payment Terms and Late Payments

3.1 Late Payments:

Balances shown as owed to IntellectConnect Tutoring LLC on an invoice statement are to be paid within 7 days of the date of the invoice. Balances owed to IntellectConnect Tutoring LLC for which payment is not received within 10 days of the invoice date shall be charged a $25 late payment penalty fee and will be subject to an interest charge of 1% per month on the entire outstanding balance.

3.2 Missed Payments:

IntellectConnect Tutoring LLC may send payment reminders and, if overdue for more than 30 days, may engage a third-party collections agency. All collection efforts will comply with Washington State and federal law, including the Fair Debt Collection Practices Act (FDCPA).

3.3 Collections:

If it is necessary for IntellectConnect Tutoring LLC to file suit for collection of any sums due to IntellectConnect Tutoring LLC from clients under this agreement, the client shall pay the Company and/or The Collection Agency’s reasonable attorney’s fees together with their Court costs for collection. Client agrees venue for any such proceedings shall lie in Spokane County. If a suit is instituted to collect fees under this agreement, client shall pay a reasonable attorney's fee to the Company’s Attorney if the Attorney prevails.If any overdue invoices cannot be resolved through the mediation process, IntellectConnect Tutoring LLC may pursue legal action in small claims court. In the event the company prevails in small claims court, the client will be responsible for all filing fees and any other costs incurred associated with the legal proceedings. Additionally, attorney’s fees will be requested if the issue is taken to small claims court due to breach of contract.


4. Discounts

4.1 Tutor-Specific Discounts:

Any tutor-specific discounts must be approved by IntellectConnect Tutoring LLC. These discounts apply only to specific tutors and are subject to change or cancellation at any time without prior notice. Such discounts may be offered based on availability, loyalty, or at the discretion of the tutor, but final approval rests with IntellectConnect Tutoring LLC.

4.2 Company-Wide Discounts:

From time to time, IntellectConnect Tutoring may offer promotions, discount codes, or package deals that apply to all tutors or services company-wide. These promotions are time-sensitive and may be subject to change. Clients must use any discount codes during checkout to receive a discount. If a client fails to apply the discount code at the time of purchase, they will not be entitled to retroactive application of the discount.


5. Recurring Memberships and Subscriptions

5.1 Automatic Renewal:

Recurring memberships or subscription-based services provided by IntellectConnect Tutoring LLC will be charged continuously at the prevailing rates until canceled. You authorize us to charge the card on file for any recurring payments until cancelled by you (the client).

5.2 Cancellation Policy:

If a recurring subscription is canceled, the cancellation will take effect at the end of the current billing period. No refund will be provided for payments already made for the current period.

5.3 Termination Reasons:

IntellectConnect Tutoring LLC reserves the right to terminate services (without refund) for the following reasons:

  • Non-payment or overdue balances

  • Failure to comply with session schedules or policies

  • Harmful, disruptive, or inappropriate behavior by the Client (see Section 17)

  • Violation of intellectual property rights or academic integrity

  • Repeated cancellations or no-shows that disrupt the scheduling process

  • Any other behavior detrimental to the tutoring process


6. Non-Transferable Packages and Subscriptions

All tutoring packages and subscriptions are valid only for the original purchaser and cannot be transferred to another individual. Clients may not assign or transfer any rights or obligations under this agreement to any other person or entity.


7. Session Guidelines and Cancellations

7.1 Cancellation Policy:

If you need to cancel a session, you must provide at least 24 hours' notice to avoid being charged. Sessions canceled with less than 24 hours' notice will be charged in full or count as one of the sessions included in any packages or subscriptions.

7.2 Late Arrivals and No-Shows:

If you are late to a session, the tutor will wait for up to 10 minutes before considering the session a "no-show" and charging the full rate for the session. In the event of a "no-show," no make-up session or refund will be provided.

7.3 Tutor Delays:

If a tutor is late to a session, the lost time will be compensated by extending the session for a mutually agreed-upon period or rescheduling the session.

7.4 Waiver of Charges:

Tutors may waive charges or offer make-up credits for cancellations outside of the policy, subject to approval by IntellectConnect Tutoring LLC.


8. Session Details

8.1 Session Length:

All sessions and their length of time are displayed on the company website or on the booking page of the member’s page.

8.2 Session Location(s):

Sessions may take place at mutually agreed-upon locations, including in-person or virtual sessions. Sessions may be moved to virtual sessions upon mutual agreement, weather conditions, tutor availability, or other considerations. All in-person sessions held on a school campus must be in compliance with the school's policies.

8.3 Virtual Sessions:

Clients requesting a recording of a virtual session must notify IntellectConnect Tutoring LLC prior to the session. The request must be mutually acceptable to all parties involved in the session, including the tutor. Recording of sessions is not guaranteed and will comply with all applicable laws and regulations, including Washington state and federal law.


9. Termination by IntellectConnect Tutoring LLC

9.1 Breach of Agreement:

IntellectConnect Tutoring LLC reserves the right to terminate tutoring services (without refund) if the client breaches the agreement, including but not limited to non-payment, failure to comply with session schedules, or any other behavior detrimental to the tutoring process. The Client may be expected to pay a $360 termination fee for a Breach of Agreement.

9.2 Non-Payment:

If payment is not received by the due date, services may be suspended or terminated. The client will be notified before any action is taken.

9.3 Safety and Conduct:

If the tutor feels unsafe or if the client exhibits harmful, disruptive, or inappropriate behavior, services may be terminated immediately without a refund.

9.4 Failure to Follow Policies:

Services may be terminated if the client consistently fails to adhere to the terms of the tutoring agreement, such as repeatedly violating the cancellation or session schedule policies.

9.5 Notice of Termination:

IntellectConnect Tutoring LLC will provide written notice of termination outlining the reasons for the termination. IntellectConnect Tutoring LLC reserves the right to recover unpaid amounts through legal action and/or third-party collection services. Payment plans may be offered at the discretion of the Company upon request and will have specific terms and conditions associated with that payment plan, which must be signed by both parties.


10. Post-Termination

10.1 Confidentiality:

Both parties agree to maintain the confidentiality of any shared information after the termination of services.

10.2 Return of Materials:

Clients must return any materials or resources provided by IntellectConnect Tutoring LLC upon termination.


11. Chargebacks and Dispute Resolution

11.1 Final Sale Policy:

All purchases made through IntellectConnect Tutoring LLC are final and non-refundable, with the following limited exceptions:

  • If you are using the “Pay-As-You-Go” system and have prepaid for a session that is canceled by the tutor and never occurs, a full refund will be issued.

  • If you have prepaid for a Homework Help session and it is determined, after internal investigation, that the tutor was unable to provide any meaningful assistance, a refund may be issued at the sole discretion of IntellectConnect Tutoring LLC.

  • No refunds will be issued for purchases made through Buy Now, Pay Later platforms such as Klarna, Afterpay, PayPal Pay Later, or any other third-party financing service.

11.2  Pre-Dispute Requirement:

If you have a concern or dispute related to a session or charge, you must notify IntellectConnect Tutoring LLC in writing within five (5) business days of the session date. Written notice may be submitted by email to support@intellectconnecttutoring.com or by mail to our business address. Failure to provide a timely written notice may result in the waiver of your right to contest or dispute the charge.

11.3 Invoice Disputes:

Any discrepancies, errors, or issues with invoices must be reported within five (5) days from the date the invoice is issued. If no written notice is received within this timeframe, the invoice will be considered accurate and accepted.Written notice must clearly describe the nature of the dispute and may be sent by email or physical mail. Additional dispute resolution procedures may be implemented if the matter cannot be resolved through direct communication.

11.4 Chargeback Policy:

If a chargeback is initiated:

  • A $50 administrative fee will be added to the total balance owed.

  • IntellectConnect Tutoring LLC reserves the right to suspend or terminate access to all tutoring services until the chargeback is fully resolved. Clients who initiate more than one chargeback may be permanently banned from using our services.

  • Any unpaid chargebacks may be reported to collection agencies, which may negatively impact your credit.

  • If IntellectConnect Tutoring LLC determines, after review, that the chargeback was filed in error or without valid cause, the dispute will be formally contested. Supporting documentation (e.g., service records, emails, agreement to Terms) will be submitted to the payment processor.

  • If the chargeback is reversed in favor of IntellectConnect Tutoring LLC, the total outstanding amount must be paid within fourteen (14) calendar days. If payment is not made, the company reserves the right to pursue recovery through small claims court.


11.5 Arbitration Clause:

If a dispute cannot be resolved through communication or written correspondence, both parties agree to resolve the matter through binding arbitration administered by the American Arbitration Association.Arbitration will take place in Spokane County, Washington, and both parties waive the right to a trial by jury.


12. Indemnification

The Client agrees to indemnify and hold harmless IntellectConnect Tutoring LLC and its tutors from any liability, damage, or loss arising from the Client’s use of the tutoring services.


13. Non-Solicitation

For a period of one year after the termination of services, the Client agrees not to directly solicit or hire any tutor employed by IntellectConnect Tutoring LLC without the express written consent of the Company.


14. Intellectual Property Rights

All materials provided by IntellectConnect Tutoring LLC remain the exclusive property of the Company. Clients may not reproduce, distribute, or use any tutoring materials without written permission from the Company.


15. No Promises or Warranties

IntellectConnect Tutoring LLC does not guarantee any specific results or outcomes from tutoring sessions. The Company makes no promises or warranties, express or implied, regarding the effectiveness of tutoring services.


16. Academic Integrity

The Client agrees to uphold academic integrity and agrees not to engage in or support any dishonest behavior, including but not limited to plagiarism, cheating, or misrepresentation of academic work. IntellectConnect Tutoring LLC reserves the right to terminate services if the Client is found to be engaging in academic dishonesty.


17. Mutual Respect, Conduct, and Anti-Harassment Policy

IntellectConnect Tutoring LLC is committed to maintaining a safe, respectful, and professional environment for all students, clients, tutors, and staff. This policy outlines behavioral standards, communication rules, and safeguards against harassment, misconduct, and defamation, in accordance with applicable federal and Washington State laws.


17.1 Zero Tolerance for Harassment:

We enforce a zero-tolerance policy for any form of harassment, abuse, intimidation, or inappropriate conduct—verbal, digital, physical, or otherwise.

Harassment includes, but is not limited to:

  • Verbal threats or intimidation

  • Discriminatory, demeaning, or profane language

  • Unwanted romantic or suggestive interactions (see Section 17.3)

  • Excessive or unsolicited personal communication

  • Conversations about inappropriate personal or bodily topics unrelated to tutoring


17.2 Communication Rules and Age-Based Boundaries:

Definition of “Approved Channels”:

“Approved channels” refer to official communication methods provided or recognized by IntellectConnect Tutoring LLC, such as company email, video conferencing tools, and booking platforms. Any method not explicitly authorized by the company or the parent/guardian (for minors) is considered unapproved.


With Students Under 18

  • Tutors must use approved channels only when communicating with minors.

  • Conversations are limited to academic tutoring and scheduling purposes only.

  • Contact outside scheduled sessions is prohibited unless:

    • It is for scheduling purposes with a parent or guardian, or

    • A parent/guardian provides written approval for the tutor to contact the student directly.

  • Private messaging, texting, or social media contact is not allowed unless pre-approved in writing.

  • Tutors must report any inappropriate or unauthorized communication initiated by a student.


With Clients/Students 18 and Older

  • Tutors and adult clients may communicate via mutually agreed-upon methods, including the tutor’s provided phone number, messaging apps, or email.

  • Social media contact is permitted only with mutual written consent.

  • Personal conversations within reason (e.g., hobbies, school updates, non-sensitive life topics) are allowed during sessions, as long as they are respectful, appropriate, and not romantic or suggestive in nature.

  • All communication must stay academic, professional, and within the tutoring relationship context.

  • IntellectConnect Tutoring LLC is not responsible for interactions occurring after tutoring services have concluded.


Prohibited Romantic or Suggestive Interactions

Romantic interactions include:

  • Expressions of romantic interest or personal attraction

  • Personal invitations to meet socially or privately when done with romantic or inappropriate intent

  • Attempting to build a relationship outside of the tutoring role while tutoring services are being received

Suggestive interactions include:

  • Inappropriate language, including sexual, romantic, flirtatious, or explicit language

  • Sexual innuendo or commentary implying desire or intimacy

  • Remarks about genitals, breasts, menstruation, or other private body parts (unless medically or academically relevant and handled with discretion)

  • Sending or requesting inappropriate images, including shirtless, intimate, or sexually suggestive photos



17.3 Enforcement and Remedies:

If a Client Violates This Policy:

  • Tutoring services may be immediately suspended or terminated

  • Any refund request will be denied, per Section 5.3

  • No-contact or anti-harassment orders may be pursued

  • Legal authorities will be notified if the conduct violates applicable laws

If a Tutor or Staff Member Violates This Policy:

  • Internal disciplinary action may include suspension or termination

  • Legal referral will be made if necessary


17.4 Protection Against Defamation and Slander:

Clients agree not to make or distribute false, misleading, or malicious statements about IntellectConnect Tutoring LLC, its services, or its representatives.

This includes statements made via:

  • Google Reviews, Yelp, Trustpilot

  • Social media platforms (Instagram, Facebook, X, Reddit, etc.)

  • Emails, blogs, forums, or private messages

Examples of defamation or slander include:

  • False accusations of misconduct, discrimination, harassment, or fraud

  • Unverified or intentionally misleading reviews or claims

  • Misrepresenting tutor behavior, service quality, pricing, or results

  • Sharing edited, fabricated, or out-of-context material publicly


Resolution Process

  • IntellectConnect will notify the client in writing and provide 7 calendar days to resolve or retract the statement.

  • If unresolved, the client will be held financially liable for any resulting damages and will be responsible for all legal expenses, including attorney’s fees and reputational damage mitigation.



17.5 Reporting Violations:

All reports must include documentation and evidence, such as screenshots, emails, chat logs, or session transcripts. Anonymous or undocumented claims may not be actionable. Every report is taken seriously and reviewed promptly.



17.6 Non-Discrimination Policy:

IntellectConnect Tutoring LLC is committed to providing a non-discriminatory environment for all students, tutors, and clients. We do not tolerate discrimination based on race, ethnicity, religion, national origin, age, disability, gender identity, sexual orientation, or any other protected class under federal or Washington State law.


17.7 Digital Conduct Guidelines:

For virtual tutoring sessions, both tutors and clients must:

  • Use appropriate screen names and neutral backgrounds that avoid disruption

  • Dress professionally and in a manner suitable for an academic environment

  • Ensure that background noise and other individuals in the background are not disruptive or inappropriate

  • Refrain from recording sessions without prior written consent from all parties involved



17.8 Privacy & Consent Expectations:

  • Recording of Sessions: Tutors may not record sessions without prior written consent from the client or a student’s legal guardian.

  • Confidentiality: All academic progress, personal information, and discussions during sessions are considered confidential.

  • Sharing of Sessions: Clients agree not to share or redistribute any part of the tutoring sessions, including recorded content, without explicit written permission.



17.9 Tutor Safety Clause:

IntellectConnect Tutoring LLC reserves the right to immediately remove a tutor from an assignment if there are concerns regarding their emotional, psychological, or physical safety. This applies regardless of whether any formal policy violations have occurred. The company’s priority is to ensure the well-being of all tutors and staff.



17.10 Compliance with Washington State and Federal Laws:

IntellectConnect Tutoring LLC operates in compliance with all applicable federal and Washington State laws, including but not limited to:

  • Washington State Human Rights Commission (RCW 49.60)

  • Washington State Family Education Rights and Privacy Act (FERPA-like protections)

  • Federal Civil Rights Act

  • Title IX of the Education Amendments of 1972

  • Washington State Harassment, Intimidation, and Bullying (HIB) Laws

We also abide by all relevant consumer protection laws and employment laws governing harassment, defamation, and workplace safety.


17.11 Parental Responsibilities (For Clients with Minors):

Parents/guardians are responsible for ensuring their child’s availability during scheduled sessions, appropriate behavior, and compliance with digital conduct policies. The parent/guardian must be reachable in case of emergencies, schedule changes, or policy violations. Failure to monitor or intervene in persistent behavioral issues may result in termination of services.


18. Pre-Recorded Sessions as Substitute Instruction

In some cases, a student or client may be unable to attend a scheduled live session and may request a pre-recorded video lesson covering a specific topic. IntellectConnect Tutoring LLC permits this substitution under the following terms and conditions:

18.1 Tutor Consent Required:

  • Pre-recorded sessions may only be provided if the assigned tutor voluntarily agrees to the request.

  • Tutors are not obligated to record substitute sessions and may decline based on scheduling, topic complexity, or personal preference.

  • Tutors retain discretion over whether a topic is suitable for recorded instruction.


18.2 Session Substitution Policy:

  • A pre-recorded session will count as one full session from the client’s purchased package or current billing cycle.

  • Once delivered, the recorded session is considered fulfilled in the same manner as a live session.

  • No additional time credit, refund, or adjustment will be provided unless agreed to in writing.


18.3 Recording Length and Content Scope:

  • The content of the recording must be limited to the topic(s) specifically requested by the student or client.

  • The length of the recording is determined by:

    • The complexity and breadth of the topic

    • The amount of time the tutor reasonably requires to effectively teach the requested material

  • Tutors are not required to match the full length of a standard live session unless the topic reasonably demands it.


18.4 Privacy, Restrictions, and Usage Rights:

  • All pre-recorded sessions remain the intellectual property of IntellectConnect Tutoring LLC and the recording tutor.

  • Clients may not reproduce, distribute, publish, repost, or share the recorded session or its content in any form without prior written consent from both the tutor and IntellectConnect.

  • All rules outlined in Section 17, including policies on conduct, communication, privacy, and confidentiality, apply equally to pre-recorded sessions.

  • The recording may be used only by the student or client for whom it was intended and must not be shared with others.


19. Data Protection

We take the privacy of your information seriously. All data collected is stored securely and used only for educational and administrative purposes. We do not sell or share your information with third parties unless legally required or necessary to provide service.


20. Homework Submissions

20.1 Submission Method:

All homework submissions must be made exclusively through the Membership Portal. Submissions sent by email, messaging apps, social media, or any other unofficial method will not be accepted or reviewed under any circumstances.

20.2 Accepted Formats:

Only submission formats and file types supported by the Membership Portal will be accepted. It is the responsibility of the user to ensure that their submission complies with these format requirements. Submissions in unsupported formats may be rejected without feedback.

20.3 Response Times:

We strive to review and respond to all valid homework submissions within a reasonable timeframe, typically within 72 hours of receipt. While we aim to meet this standard consistently, actual response times may vary depending on submission volume and operational factors.

20.4 Feedback Delivery:

All feedback provided by the Company will be limited to a maximum of 15 minutes per submission. Where applicable, feedback may be delivered via video, which will be provided in segments of no more than 5 minutes each. The Company reserves the right to determine the format and structure of all feedback given.


21. Force Majeure

IntellectConnect Tutoring LLC shall not be held liable for delays or inability to perform services due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, power outages, or internet disruptions.

22. Acknowledgment and Acceptance

By checking the box, the undersigned parties acknowledge and agree to the terms and conditions set forth in this Tutoring Agreement ("Agreement"). Both the Client and the Tutor affirm that they have read, understood, and voluntarily accepted all provisions of this Agreement. By checking the box, the undersigned further agrees to be legally bound by the terms contained herein and confirms their intention to comply with all obligations outlined in this Agreement, including but not limited to payment terms, cancellation policies, and dispute resolution procedures.
